Terms & Conditions for Mutual Fund Transactions Executed via Cybrilla on Aunest
This Terms and Conditions document (“T&C”) governs the use of mutual fund transaction services enabled by Cybrilla Technologies Pvt. Ltd. (“Cybrilla”) on the Aunest platform operated by Jewelbox App India Private Limited (“Aunest” / “Platform” / “We”). By initiating any mutual fund transaction through the Platform, the investor (“Investor” / “Client”) agrees to be bound by these T&C.
1. Role Clarification and Order Routing
- ● Jewelbox App India Private Limited (Aunest) acts solely as a SEBI-registered Mutual Fund Distributor (ARN holder) facilitating transactions on an execution-only basis.
- ● Cybrilla acts as a technology and transaction routing infrastructure provider enabling order placement with the respective AMCs and RTAs.
- ● The respective Asset Management Company (AMC) and its Registrar & Transfer Agent (RTA) (CAMS/KFintech/other) are the official record keepers responsible for unit allotment, folio maintenance, and transaction records.
- ● At no point do Aunest or Cybrilla hold custody of Investor funds or mutual fund units.
2. Units, Folios, and Record Keeping
- ● All mutual fund units are allotted and held in the Investor’s folio directly with the AMC/RTA.
- ● Aunest and Cybrilla only provide a viewing and transaction interface and do not maintain official records of unit holdings.
- ● Any discrepancies in holdings, folio data, or unit allotment shall be governed by records maintained by the AMC/RTA.
3. Execution-Only Platform
- ● The Platform operates strictly on an execution-only basis.
- ● Neither Aunest nor Cybrilla provides investment advice, portfolio management, or suitability assessment.
- ● Investors must read the Scheme Information Document (SID), Key Information Memorandum (KIM), and related documents before investing.
4. Investor Authorization
- ● The Investor authorizes Aunest and Cybrilla to route transactions based on electronic instructions.
- ● Instructions once submitted to AMC/RTA cannot be modified or cancelled except as per AMC rules.
- ● The Investor confirms the accuracy of all personal, KYC, FATCA, bank, and nominee details.
5. Cut-off Timings and NAV Applicability
- ● Transactions shall be processed as per SEBI-prescribed cut-off timings and NAV rules. Delays due to banking systems, mandates, payment gateways, or third-party dependencies may impact NAV applicability, for which Aunest and Cybrilla shall not be liable.
6. Payments, Mandates, and Settlement
- ● Successful processing depends on clear funds, valid mandates, and successful bank debits. Failures arising from insufficient funds, mandate rejection, or banking errors are the Investor’s responsibility.
7. Distributor Disclosure (ARN / EUIN / Commissions)
- ● Aunest is a registered Mutual Fund Distributor and may earn commissions/trail fees from AMCs.
- ● Investments made through the Platform are in Regular Plans of mutual fund schemes unless explicitly stated otherwise.
- ● EUIN/ARN disclosures shall be made in accordance with AMFI/SEBI guidelines.
8. Risk Acknowledgement
- ● Mutual fund investments are subject to market risks. NAVs fluctuate and past performance does not guarantee future returns. Investors may lose capital.
9. Third-Party Dependencies
- ● Aunest and Cybrilla rely on AMCs, RTAs, banks, NPCI, payment gateways, and other intermediaries. They shall not be liable for failures, delays, or errors originating from these entities.
10. KYC, FATCA, AML, and Regulatory Compliance
- ● The Investor represents compliance with KYC, FATCA, PEP, AML, and other statutory requirements. Non-compliance may result in transaction rejection.
11. Limitation of Liability
- ● Liability of Aunest or Cybrilla shall not exceed the fees earned for the specific transaction. Neither party shall be liable for indirect or consequential losses.
12. Indemnity
- ● The Investor agrees to indemnify Aunest and Cybrilla against losses arising from incorrect information, mandate failures, misuse of credentials, or regulatory non-compliance.
13. Data Privacy and Sharing
- ● Investor data may be shared with Cybrilla, AMCs, RTAs, banks, and payment partners solely for transaction processing and regulatory compliance.
14. Force Majeure
- ● Neither Aunest nor Cybrilla shall be liable for failures due to events beyond reasonable control including natural disasters, system failures, regulatory changes, or network outages.
15. Amendments
- ● Aunest may amend these T&C at any time. Continued usage implies acceptance.
16. Suspension and Termination
- ● Services may be suspended for regulatory, operational, or breach-related reasons.
17. Governing Law and Jurisdiction
- ● These T&C are governed by Indian law. Jurisdiction: Bengaluru, Karnataka.
